Freeths Advises on the Sale of JGA Group
Freeths has recently advised the shareholders of JGA Group Limited (JGA) on the sale of the JGA Group, which includes subsidiaries in the UK and Ireland to Jensen Hughes Inc.
JGA was founded in 1993 by Jeremy Gardner with a sole focus on fire safety. Since then, the company has expanded to seven offices, a staff of 70, with 55 fire protection engineers, and more than 6,000 completed projects. These projects include some of the most complex construction projects in the UK, Ireland and continental Europe, such as the Microsoft campus in Dublin, St James in Edinburgh, and Wembley Park in London.
Jensen Hughes are the global leaders in safety, security and risk-based engineering and consulting and have more than 70 locations globally including throughout North America, Europe, Asia and the Middle East. Over the last three years, Jensen Hughes has made strategic acquisitions of safety-related consulting firms. The addition of JGA enables them to expand their range of services across the UK and Ireland.
“The JGA team brings exceptional technical expertise and client focus, which truly helps Jensen Hughes build global recognition as a world-class company,” said Paul Orzeske, CEO, Jensen Hughes. “We are excited to join forces with JGA. They share a similar culture and mindset around safety, security and risk mitigation for their clients, and we look forward to bringing additional fire and life safety-related capabilities to the UK and Ireland in the coming years.”
The Freeths team was led by corporate partner Leon Arnold and supported by Malin Svanberg Larsson (senior associate, corporate), Rebecca Lowery (solicitor, corporate), Claire Boyce (senior associate, tax) and Roxane Savage (solicitor, real estate). Jeremy Gardner, founder of JGA, commented “Freeths were extremely efficient in moving the transaction forward and their advice was always clear and commercial. I would not hesitate in recommending their services”.
