Andrew both trained and then worked in the city for nearly 30 years (the last 24 of those years being with international firm Mayer Brown) before deciding to work more locally to home. An experienced corporate lawyer, he joined Freeths in 2012 and has extensive experience of company and corporate matters.

Andrew has acted on numerous share and asset acquisitions, including from receivers and administrators and those conducted by auction and by way of recommended offer – including by way of scheme of arrangement. He advises on various restructurings (including court approved share capital reductions and under s110 Insolvency Act 1986) and reorganisations.

Andrew has also acted on numerous venture capital/private equity funding rounds and transactions, joint ventures and commercial contracts.

Cases

  • Acted for Thomson Reuters on the acquisition of the Empowered Systems Holdings’ group of companies from some 20 selling shareholders. The Empowered Systems Holdings’ group business is that of software development and the provision of risk and compliance workflow, middleware and business intelligence solutions for organisations with large and complex data management challenges.
  • Acted for Voltea Limited on a private equity funding round and related issues. The funding was provided by a mixture of new and existing shareholders of the company. The business of the Voltea group is the development, manufacture and sale of capacitive de-ionisation technology for water purification and water treatment.
  • Acted for Thomson Reuters on the sale of the Extel Survey business and also separately on the sale of its European wealth and investment transaction processing business, BETA Global.
  • Acted for The Milton Keynes Parks Trust on its acquisition of Willen Leisure Limited and its wholly owned subsidiary Whitecap Leisure Limited. Following the acquisition, Andrew also acted on the subsequent reorganisation of the acquired group to address a number of commercial issues and eliminate an unwanted company. More recently, Andrew acted on the purchase of the business of Wake MK as part of The Parks Trust’s continued investment in and development of the Willen Lake leisure facilities.
  • Acted for certain selling shareholders on the sale of a controlling interest in The Prostate Centre Limited to HCA International Limited and their ongoing shareholder arrangements.
