Danielle is a corporate solicitor who previously worked for PwC LLP where she specialised in management incentive work and corporate restructuring.
Danielle recently joined the Freeths corporate team in September 2019 and will be advising on a broader range of corporate matters, such as mergers and acquisitions including both share and asset sales, disposals, corporate restructuring, investments and general shareholder matters.
- Acting as one of the primary legal contacts for one of the UK’s largest beauty and wellbeing brands in relation to the implementation of its employee incentive scheme;
- Acting for a market leading specialist additive manufacturer, in its purchase by Siemens Holdings PLC to include drafting of ancillary documentation, completing due diligence and reporting to the client;
- Playing a fundamental role in advising a registered provider and its treasury vehicle PLC in connection with their internal governance issues and providing appropriate support and guidance from a governance perspective to minimise the risk and impact of such issues;
Danielle has acted for multiple sellers and purchasers for the sale and purchase of both assets and shares of care home groups, including on multi-million pound transactions involving reviewing existing contracts and other due diligence work. She also drafts share purchase agreements (to include reference to completion accounts and the payment of deferred consideration and warranties appropriate to these transactions), in addition to all other associated documentation such as, loan notes, board minutes, board resolutions and reviewing disclosure letters providing sector specific advice that relates to the conditionality of the contract upon CQC registrations.
