Max is a Real Estate Partner with significant experience dealing with all areas of commercial property including mixed use developments, high end retail work and commercial lending.

Max acts for landowners, promoters and developers on residential projects from acquisition/site assembly, development and disposal. His experience includes conditional contracts, options, promotion and collaboration agreements.

Cases

  • Acting on the acquisition of a site for £10 million comprising of 2 office blocks let to tenants and post-acquisition advising client on redevelopment of the site for student accommodation.
  • Acting for national retailer in connection with lease re-gear to include taking additional space in The Meadowhall Shopping Centre.
  • Advising leading packaging machinery supplier and manufacturer of packaging equipment on their relocation to new purpose built industrial and office premises.
  • Acting for a lender in connection with the provision of development finance for the construction of a residential care home.

Commercial Development

Cases

  • Acting for a client in connection with the acquisition of development land for a garden centre and retail complex comprising 51,000 square feet garden centre and 40,000 square feet retail space.
  • Advising client in connection with the acquisition and development of site to be developed for a Jaguar Land Rover car showroom. Work undertaken included negotiating conditional purchase contract and separate development agreement.

Residential Development

Cases

  • Acting for a purchaser in connection with acquisition of site for residential development. Contract conditional on planning, satisfactory site investigation and acquisition of necessary easements to gain access into the site.
  • Acting for promoter in relation to securing outline planning permission for a site and subsequent sale to a national house builder. Work involved negotiating sale agreement, transfer, overage deed and infrastructure deed.

Real Estate Finance

Max is experienced in acting for major banks and secondary lenders. Transactions include lending to businesses to fund business growth, acquisition of office and industrial accommodation and sites for development.

Max also provides support to our corporate and commercial team in connection with larger transactions.

Major focus on the retail sector, dealing with all non-contentious aspects of landlord and tenant work including general property management. Areas of expertise include the following:

Acquisitions

Max deals with acquisitions in high streets, shopping centres and out of town retail parks.

Max is experienced with drafting, negotiating and completing agreements and leases for both landlords and tenants. This has enabled Max to adopt a commercial approach to concluding lease negotiations with efficiency and in the best interests of the client.

Max is used to dealing with straightforward and complex leasehold acquisitions. He regularly negotiates agreements which are conditional on planning and impose development obligations on landlords to construct units to be demised to tenant clients. As part of this process Max reviews building contracts, professional team appointments and negotiates collateral warranties.

Max has considerable experience of negotiating institutional form leases which contain turnover rent provisions, detailed service charge arrangements and other complex arrangements. A major strength is that Max has experience of dealing with major landlords such as Westfield, Intu, Prudential, British Land, Land Securities and Hammerson. He is familiar with their standard leases and issues that are important to them which helps when negotiating legal documents.

Disposals

Max deals with lease disposals by way of surrender and assignment.

Renewal Leases

Max acts for clients renewing business leases ensuring that the terms of the renewal lease are no more onerous than the original lease and that the client enjoys the same concessions.

General Landlord & Tenant Work

Max has experience of dealing with general landlord and tenant matters. This includes negotiating licences to assign, licences to alter, authorised guarantee agreements, rent deposit deeds, side letters and supplemental agreements.

Developments

Max is involved with the acquisition of development (by way of conditional contracts and option agreements) and then subsequent disposal of mixed use developments comprising commercial/retail and leisure accommodation.

  • Acting for retailer in connection with lease re-gear to include taking additional space in The Trafford Centre.
  • Negotiating and exchanging agreements for clients to occupy units on new developments to include, Banbury, Stafford Riverside and The Flemingate Centre.
  • Acting for a retailer in connection with the disposal by way of assignment of former flagship store in Oxford Street.
  • Acting for a client in connection with the acquisition of development land for a garden centre and retail complex comprising 51,000 square feet garden centre and 40,000 square feet retail space.
