An experienced real estate lawyer, Patrick is principally based in the residential development and social housing team.

He also has strong grounding in other areas, particularly regeneration, landlord and tenant, investment and funding transactions. His well-rounded knowledge is a great benefit for his clients.

Patrick was awarded “Junior Lawyer of the Year” in 2013 by the Nottinghamshire Law Society.

Legal Services

Regeneration

Patrick has been involved in a number of town centre regeneration projections. These have been for local authorities, local-authority controlled companies and joint-ventures.

Cases

  • A town centre regeneration for a London Borough Council, including the relocation of a library, commercial leases and shared ownership leases as part of the new library building, the acquisition of land from the Greater London Authority with linked grant funding, and a collaboration agreement with an adjoining land owner for the disposal of 66 residential units to a national housebuilder.
  • Acting for a national regeneration company on a promotion agreement with multiple land owners, including equalisation and an option for the promoter to purchase.

Residential Development

Patrick main expertise is in development transactions, particularly residential. He acts for a wide range of clients – from small local developers to local authorities to national housebuilders. He is well experienced in ‘subject to planning’ deals, development agreements, golden-brick agreement, back-to-back transactions, options and promotion agreement.

His well-rounded knowledge is a great benefit for clients, particularly at the ‘heads of terms’ stage where can advise on structuring deals in the most suitable and tax efficient manner.

Cases

  • Acting for a developer on a conditional back-to-back purchase and sale of land. The sale was to a housing association at golden brick, with a linked JCT and a land-and-build price of £9 million. This is a transaction structure that Patrick has utilised many times, on behalf of landowners, developers and housing associations.
  • Acting for a local-authority controlled investment company on a forward-funded purchase and development of a block of 65 ‘PRS’ flats in London, structured in a tax efficient manner. The transaction had complex issues including separate land and development agreements, overage, an estate service charge, a building service charge and a central heating pump shared across several blocks.
  • Acting for a developer on a tri-partite agreement for the sale and development of block of residential flat, with ground floor commercial units.
  • Acting for a national regeneration company on a promotion agreement with multiple land owners, including equalisation and an option for the promoter to purchase.
  • Acting for Greenbelt Group on the management and acquisition of open spaces and amenity areas, including development obligations.
  • Acting on the disposal of a large site (500+ units) to several national housebuilders, subject to reserved matters approval.
  • Acting for several Isle of Man SPV companies on the acquisition and later disposal, subject to planning, for a number of small and large sites (from 10 units up to 150 units).
  • Acting for a local authority on a large disposal, subject to planning, with positive development obligations.

Real Estate Finance

Patrick acts on the funding and finance of various properties. These include owner-occupied, investment properties and development properties.

Cases

  • Acting for an institutional investor on the funding of a 70+ unit residential development in Nottingham.
  • Acting for a Middle-Eastern investor on the funding (and related purchase) of 11 off-plan luxury apartments in central London, with a total value of over £20 million.
  • Acting for an SME business owner on the charging of several industrial units (some owner occupier, some tenanted).

Estate Management

Patrick acts for estate owners (both corporate and individual) on a range of transactions. These are usually promotion agreements, options and other strategic land disposals.

Cases

  • A collaboration agreement for a large estate owner, together with a local authority, for the disposal of land with outline consent for 500+ residential units. Patrick also acted on the phased construction and letting of an 18-hole golf course & driving range at the same site.
  • Promotion agreements acting both for promoters and estate owners, including multiple land owners with equalisation agreements.

Social Housing

Patrick acts for a number of local and regional housing associations on a wide range of transactions. These range from large housing association to a purely-affordable developer.

Cases

  • Acting for a large housing association on a subject to planning purchase from a local authority.
  • Acting for housing associations on the full range of development agreement.
  • Acting for a purely-affordable developer on a conditional back-to-back purchase and sale to a housing association. The transaction was at golden brick, with a linked JCT. This is a transaction structure that Patrick has utilised many times, on behalf of landowners, developers and housing associations.

Patrick acts for a number of charity housing associations. Patrick also has firsthand knowledge of the ‘Third Sector’ – he is the trustee and chair of the Finance Committee for a regional adoption charity, Faith in Families, and was previously a trustee of a grant giving charity, The Opportunities Fund.

  • Acting for a number of local and regional housing associations on the full range of development agreements and golden-brick arrangements.
  • Acting for institutional landlords on the letting of units to charities, to achieve business rates savings.
  • Advising several local authorities on the leasehold disposal and management of multi-site leisure facilities, to charities, in order to achieve substantial tax and efficiency savings.

Cases

  • Acting for the NHS on a £16 million disposal of a 100+ unit site with the benefit of outline consent. Patrick advised on and prepared the draft documentation for formal tender, including complex overage provisions (for ‘flipping’ clawback, planning overage and sales overage), and then negotiated the final documentation with the preferred bidder.
