Jemil has significant experience advising on public company takeovers by way of scheme of arrangement, acting for both offerors and offeree companies across the Main Market and AIM. His recent mandates include:

• Acting for Zinnwald Lithium plc, an AIM-listed company, on its £57m recommended takeover by AMG Lithium B.V., an Amsterdam Euronext-listed subsidiary of AMG Critical Materials N.V., involving both cash and share consideration satisfied via CREST depositary interests

• Advising STRABAG UK, a subsidiary of Austrian-listed STRABAG SE, on its £58.8m recommended takeover of AIM-listed Van Elle Holdings plc

• Acting for Walker Crips Group plc, a Main Market-listed entity, on its £5.96m recommended takeover by PhillipCapital.

• Advising Plant Health Care plc on its £32.8m recommended takeover by PI Industries by way of a scheme of arrangement

• Acting for Belluscura plc on the £5.8m acquisition of TMT Acquisition plc, a Main Market cash shell, effected by way of a share-for-share takeover requiring a Rule 9 waiver, having also advised Belluscura on several secondary fundraisings over the preceding five years

Jemil advises on a wide range of domestic and cross-border M&A transactions:

• Acting for Severn Trent on a series of bolt-on acquisitions in the water treatment and analysis sector, including the acquisition of Reigate Environment Services from its owner-managers

• Advising Keywords Studios on multiple acquisitions in the video game development sector across the UK, Italy and Spain

• Advising BPP Education Group on the acquisition of Buttercups Training, a specialist training provider

• Providing English law corporate support to NJJ Holding on the cross-border acquisition of Datagroup-Volia, a telecommunications company in Ukraine — the first major M&A transaction in that jurisdiction since the start of the Russian conflict

• Advising Gemfields Group on the $50m disposal of Fabergé Limited

Acting Jemil has extensive experience advising both public and private sector clients on complex corporate and joint venture matters:

• Acting for Manchester City Council on all corporate aspects of the £500m regeneration of Wythenshawe Civic Centre, including the procurement of a development partner and the formation and structuring of the joint venture, joint venture agreement, development management agreement and asset management agreement

• Advising Tameside Council on all corporate aspects of the £100m Godley Green Garden Village development, aimed at delivering 2,150 new homes in Greater Manchester.

•  Advising Panattoni Developments, an international logistics and warehouse real estate developer, on corporate aspects of property joint ventures

• Advising on all corporate aspects of the inward investment by JATCO — a Japanese joint venture owned by Nissan, Mitsubishi and Suzuki — in connection with the opening of its first European manufacturing plant in Sunderland

• Advising Survitec Group on the implementation of a €40m factoring agreement with Crédit Agricole Leasing & Factoring covering UK and Norwegian group entities, and the subsequent amendment and restatement of that facility

• Advising the Department of Health and Social Care (via the Government Legal Division) on the incorporation of a private limited company established to receive grant funding from the Wellcome Trust and conduct a data research project on behalf of the NHS
