• Advising a leading European staffing, and human capital technology private equity investment firm on guaranteed and secured acquisition and invoice discounting facilities provided by Close Brothers to provide working capital and to fund a portfolio group’s cross border acquisition of a regional healthcare staffing business in the UK, Ireland and APAC from a plc with a cash consideration value of £85m on a debt free, cash free normalised working capital basis.
• Advising a newco (i) on an undisclosed amount of loan facilities made available to fund a management buyout of a specialist recruitment group which sources and vets accredited teachers for primary, secondary and SEND schools across the UK and (ii) a subsequent refinancing of existing invoice discounting facilities to meet on going working capital needs.
• Advising an international IT and tech staffing talent group of companies on a refinancing of an undisclosed amount of structural loan notes held by a strategic private equity firm from the proceeds of a cross border (UAE, Germany and Luxembourg) secured and cross guaranteed term loan facility provided by HSBC Bank plc.
• Acting for a listed uniquely integrated international energy and services company on a secured term loan financing for an undisclosed amount to a SPV set up by a renewable energy developer (with turnkey engineering, procurement and construction capability) to build a grid scale solar farm to be acquired the company as part of its strategic ambitions to deliver a significant MW volume of solar and battery storage in support of the UK government’s ambition to focus on home-grown renewable energy.
• Advising a dedicated provider of outsourced specialist services to the UK government on an undisclosed bespoke borrowing base revolving credit funding facility to be made available to a JV set up by the UK partner and a US global healthcare and speciality pharmacy solution organisation in a strategic collaboration to deliver UK based immigration (including managerial) services to governments and public organisations.
• Advising Chesterfield Loan College, a leading provider of further and higher education disabilities on the refinancing of their £3,256,971.48 private bank facilities provided by Barclays Bank PLC with a term loan provided by the Secretary of State for Education.
• Advising Dudley College of Technology an assured status further education college and exempt charity on the refinancing of their private £3,500,00 Santander facilities with the assistance of a term loan in a principal amount of £1,250,000. from the Secretary of State for Education.
• Acting for numerous private equity houses and/ or vendors as recipients of guaranteed and secured loan notes in conjunction with leveraged acquisition financing transactions, management buys and other structured finance /sponsor led leveraged finance transactions.
