Phil is joint head of the Freeths’ Care Team. A corporate lawyer by trade, Phil has over 20 years’ experience advising on the full breadthe of corporate transactions and has specialised in private healthcare transactions for over 10 years. Phil counts amongst his clients many of the UK’s leading social care operators, developers and funders.

Phil regularly advises on high value and complex transactional matters and has substantial experience of deals involving UK and overseas REITs, specialist healthcare funds, pension funds and family office investors.

Phil is ranked as a Leading Individual in Chambers (2020 edition) and is listed as a Recommended Lawyer in The Legal 500 (2024 edition).

  • Advising the shareholders of The TEW Group on the multi-million pound sale of their shares to LB Foster Rail Technologies (UK) Limited – The UK and European operation of L.B. Foster Rail Technologies, Inc.
  • Advising The Alumasc Group Plc, a FTSE listed company, on its committed borrowing facilities of £20 million from Barclays Bank Plc and HSBC Bank Plc.
  • Advising Countrywide Care Homes on its acquisition of 33 care homes in England, Scotland and Northern Ireland from beleaguered care home operator, Southern Cross.

Phil is well known for his work in the private healthcare sector, having built up an impressive array of clients including operators, investors and funders. He is a constituent part of our Healthcare Team and has been instrumental in establishing Freeths as a key adviser in the sector. Phil is one of the few corporate lawyers in the UK who advises on transactions in the sector involving US REITs.

Cases

  • Acting for a large private care home operator on the corporate aspects of its sale of a portfolio of 23 UK-wide residential and nursing care properties. The sale was to a US REIT for a £75.8 million sale and leaseback arrangement.
  • Acting for a large private care home operator on the share acquisition of a corporate group, owning and operating a portfolio of 7 care home facilities in the South East of England. This was for a consideration in excess of £100 million.
  • Advising Countrywide Care Homes on its acquisition of 33 care homes in England, Scotland and Northern Ireland from beleaguered care home operator, Southern Cross.
