Leading law firm Freeths has advised Elvin Majchrzak, founder and seller of Tufcot Engineering Limited, on the sale of the Sheffield-based company to Swedish investment group Dacke Industri.

Tufcot is a specialist engineering and manufacturing business producing composite engineering materials made from synthetic fibres and thermosetting resins. The company is a major supplier of these materials across the marine, automotive and railway industries, and has built a strong reputation for quality, reliability, and technical expertise.

Dacke Industri is a long-term investment company focusing on innovative and technology-driven businesses within industrial components and solutions. The group supports its portfolio companies with strategic investment, operational expertise and international reach.

This milestone sale will allow Tufcot to scale and grow internationally, while maintaining its own long-established identity, leadership and technical strengths.

Freeths acted as legal counsel to Elvin Majchrzak, working closely alongside corporate finance advisors Grant Thornton and Swedish counsel Magnusson Law on the deal, which received clearance under the National Security and Investment Act 2021.

Corporate Partner Lisa Wallis led the Freeths team on this transaction. She was supported by Director Tomasin Reilly, Managing Associates Alex Angelides and Emma Lythgoe, Associates Rebecca Rudd, Ellie Davies, Adele Coupland and Chloe Birkett, and Legal Assistants Banthana Singh and Alysia Briggs.

Commenting on the deal, Lisa Wallis said: “It was an absolute pleasure to work with Elvin, Greg and Chrissie on this transaction, allowing Elvin to step away from the business after spending over 40 years building this up, and allowing Greg and Chrissie to continue developing the business going forward with Dacke's support. We look forward to continuing to support Greg, Chrissie and the Tufcot team, and seeing what the future has in store.”

Finance Director at Tufcot Chrissie Chadbourne added: “The whole team at Freeths was invaluable in assisting us. Their expertise played a key role in ensuring our transaction progressed smoothly. Every stage was clearly explained from start to finish, with excellent communication that helped streamline the entire process. We’re extremely grateful for their hard work and support.”

This transaction highlights Freeths’ continued expertise in mid-market M&A and its commitment to supporting Sheffield and UK businesses with strategic growth and transition.
